Terms of Service

These Terms govern access to and use of RewardFlow by organizations, authorized users, contributors, and anyone interacting with RewardFlow-powered submission workflows.

RewardFlow is operated by Muehleip Tech LLC, doing business as RewardFlow. The current launch service is limited to general U.S. business content and does not support patient, medical, dental, treatment, or sensitive health content.

1. Agreement and Service Provider

These Terms form an agreement between you and Muehleip Tech LLC, a Utah limited liability company doing business as RewardFlow (“RewardFlow,” “we,” “us,” or “our”). By creating an account, using the service, publishing a campaign, or submitting content, you agree to these Terms and acknowledge our Privacy Policy. If you use RewardFlow for an organization, you represent that you have authority to bind that organization.

2. Eligibility and Accounts

The launch service is available only to organizations operating in the United States and individual users and contributors who are at least 18 years old and located in the United States. You represent that you can form a binding contract and that the information you provide is accurate. You are responsible for safeguarding credentials and for activity under your account or organization.

3. Service Use and Acceptable Conduct

You may use RewardFlow only for lawful business purposes and in compliance with applicable laws, platform policies, third-party provider requirements, and documentation made available for the service. You may not misuse the service, interfere with its operation, attempt unauthorized access, upload malicious code, evade limits, impersonate others, violate intellectual-property or privacy rights, collect content deceptively, or use RewardFlow for illegal, fraudulent, exploitative, or unsafe activity.

4. Unsupported and Sensitive Content

RewardFlow does not currently support campaigns or submissions containing patient information, medical or dental records, diagnoses, treatment, clinical care, prescriptions, insurance information, or other sensitive health information. Medical, dental, patient, procedure, therapeutic-treatment, and clinical before-and-after campaigns are prohibited until RewardFlow expressly enables an applicable Healthcare Mode under separate written terms.

You may not submit content involving anyone under 18, intimate or non-consensual imagery, biometric identification data, government identification numbers, financial-account credentials, or other highly sensitive information not expressly requested by a supported campaign. A disclaimer, merchant waiver, or permission collected outside RewardFlow does not expand the supported service.

5. Organization and Campaign Responsibilities

Organizations control campaign instructions, audience selection, review decisions, publishing, and use of approved content. Organizations must provide accurate legal and contributor-facing identity, request only information they may lawfully collect, honor contributor permissions and restrictions, and maintain any notices, releases, substantiation, disclosures, permits, and industry approvals required for their campaigns and advertising.

Organizations may not require positive sentiment as a condition of a reward, suppress truthful negative feedback deceptively, or publish claims that are false, misleading, unsubstantiated, or materially altered from a contributor's actual experience. Organizations are responsible for clear disclosure of rewards or other material connections wherever required.

An organization administrator may update the organization's legal business identity through the service. The updated identity applies to future submissions and does not rewrite the business recorded on prior submissions or itself transfer permissions previously granted to another legal entity. The organization represents that the administrator is authorized to make the change and that it has the rights needed for any continued use of previously collected content.

6. Customer Content and Permissions

As between you and RewardFlow, you retain your rights in content you provide. You grant RewardFlow a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transform, display, and transmit that content only as reasonably needed to operate, secure, support, enforce, and improve the service and fulfill the campaign workflow. This license lasts while the content is maintained for those purposes and for legally required records and backups.

Contributors separately grant the campaign organization the permissions presented in the campaign's Submission Terms. Each contributor represents that the submission is authentic, reflects honest experience and opinions, and does not violate another person's copyright, trademark, privacy, publicity, confidentiality, or other rights. Organizations—not RewardFlow—decide whether and how to use approved content in marketing.

7. Submissions, Reviews, and Rewards

Organizations control campaign configuration, approval decisions, reward amounts, and contributor-facing campaign instructions. Reward issuance may depend on third-party providers, contributor eligibility, verification, fraud checks, and successful payment processing.

A submission does not guarantee approval or a reward. A promised reward must not depend on positive sentiment. RewardFlow may delay, withhold, cancel, or reverse processing when reasonably necessary to address fraud, sanctions, abuse, provider restrictions, payment failure, legal requirements, or an ineligible submission. Third-party reward terms and availability may also apply.

8. Billing and Payments

Paid features and usage-based charges are billed according to your selected plan and approved submissions. You authorize payment processors to charge your selected payment method for applicable subscription, usage, reward, tax, or other amounts due. Except where required by law or expressly stated otherwise, fees are non-refundable once the applicable service or reward issuance has occurred. You are responsible for taxes imposed on your purchase or use of the service, excluding taxes on RewardFlow's net income.

9. Suspension and Termination

You may stop using RewardFlow at any time. We may restrict, suspend, or terminate access when reasonably necessary to protect contributors, customers, RewardFlow, or providers; address nonpayment, security, abuse, prohibited content, or legal risk; or enforce these Terms. Termination does not eliminate accrued payment obligations or provisions that by their nature should survive, including content rights already granted, confidentiality, disclaimers, liability limits, indemnity, and dispute terms.

10. Disclaimers, Liability, and Indemnity

To the maximum extent permitted by law, RewardFlow is provided “as is” and “as available.” RewardFlow disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that submissions are authentic, lawful, non-infringing, suitable for advertising, or representative of typical results, or that every reward, email, integration, or third-party service will remain available or error-free.

To the maximum extent permitted by law, RewardFlow will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenues, data, goodwill, or business opportunities. RewardFlow's aggregate liability arising from the service will not exceed the greater of $100 or the fees paid by the applicable organization to RewardFlow during the 12 months preceding the event giving rise to the claim. Some jurisdictions do not allow certain exclusions, so these limits apply only to the extent permitted.

Organizations will defend and indemnify RewardFlow and its officers, agents, and service providers from third-party claims, losses, and reasonable costs arising from their campaigns, instructions, content use, advertising claims, violation of these Terms, or violation of another person's rights, except to the extent caused by RewardFlow's own breach or unlawful conduct.

11. Governing Law and Disputes

These Terms are governed by Utah law, without regard to conflict-of-law rules. The state and federal courts located in Utah have exclusive jurisdiction over disputes arising from these Terms or the service, and each party consents to that jurisdiction and venue. Before filing a claim, the parties will attempt in good faith to resolve the dispute through written notice and reasonable discussion.

12. Availability and Changes

We may update, suspend, or discontinue parts of the service as needed to improve RewardFlow, maintain security, comply with law, or respond to provider or infrastructure changes. We may also update these Terms. If a change materially affects existing rights or obligations, we will provide notice through the service, email, or another reasonable channel. Continued use after the effective date constitutes acceptance of the revised Terms.
